Procedure for Incorporation

Having decided to incorporate...

 

Ascertain:

  • activities of the club or association
  • what properties are held
  • whether club is trading or not
  • dealings with third parties - extensive or minimal

Consider:

  • constitution and Statement of Purposes
  • adoption of "Model Rules" or amend. For example, entrance fees, subscriptions, due dates, winding up clauses, etc
  • structure of Committee
  • do you want to share assets on winding up?

Accounts:

  • Minute Book
  • Registers of members, committee members and office bearers, public officers and borrowings

Property

  Land:

  • Land held in trust for club automatically vests in the incorporated association, but it is necessary to transfer land and property into the name of the incorporated association.

Leases:

  • Consider the term of the lease, provision for assignment, etc. Consider whether it would be easier to re-make contract.

Public Officer

  • Must appoint a Public Officer

 

Procedure for Incorporation

 

The procedure for incorporation consists of the following steps:

  • convene a meeting of members of the association
  • prepare a Statement of Purpose and, if Model Rules inappropriate, Rules
  • majority of members resolve to appoint the applicant, approve the name, and approve the Statement of Purpose and Rules
  • identify all trusts and collate all deeds and instruments relating to such trusts
  • prepare minutes of meeting
  • Complete and lodge forms 1 & 2 with the Registrar together with a cheque for $60.00
